NBC News Presents: Diana Revealed, The Princess No One Knew
ASIN: 0060193867 |
Amazon.com
If you want to hear nice things about Princess Diana, listen to England's Rose: Tribute to Diana or read Andrew Morton's Diana: Her True Story in Her Own Words. Penny Junor's controversial bestseller tells another tale. "[Charles] had to put up with years of tantrums and abuse," writes Junor. "Charles cut his friends out of his life at Diana's insistence, and even gave away the dog he loved in an effort to make Diana happy." Junor charges Diana with tricking Charles into marriage; cruelty to her children's nanny; refusal to see the psychiatrist Charles worriedly recommended for her anorexia; beating Charles to the punch in the adultery department; and making phone calls to Camilla in which Diana "would say things like, 'I've sent someone to kill you.... Look out of the window; can you see them?'" Junor quotes Prince William as saying, "Papa doesn't embarrass me. Mama does." While she doesn't paint Charles in fully glowing colors, Junor's portrait of Diana is startlingly harsh. Regarding the "Camillagate" tapes of Charles's crude love talk, which will humiliate the whole family forever, Junor darkly notes that: "The Princess was one of very few people who knew the Prince's mobile telephone number, and it was known that she had been worried about bugging on her own account and had installed some sophisticated equipment at Kensington Palace." How upsetting is this book? Newspapers report that Junor is herself besieged by paparazzi and hate mail and travels with a bodyguard. --Tim Appelo
Book Description
Charles, Prince of Wales, has long been the subject of intense scrutiny and speculation. Everyone assumes that they know the story of the Prince's life and his failed marriage to Diana. Diana herself told the world in no uncertain terms about her unhappiness with the British Royal Family, leaving no doubt as to whom she held responsible.
But Diana's version was only part of the story.
Penny Junor's new biography, Charles: Victim or Villain?, reveals the startling complexities and contradictions of a man born to a position of unique privilege. On the occasion of the Prince's fiftieth birthday it provides fresh perspective and entirely revolutionizes the way we think about Charles, his marriage and his mistress.
Drawing on the memories, experiences and observations of those closest to the Prince, the Princess and Camilla some of whom have never spoken before Penny Junor is in an unrivaled position to explode and explain the popular myths. Her analysis of the Prince's marriage to Diana, a vulnerable but difficult young woman, and his relationship with Camilla, earthy and independent, results in a provocative new portrait of the man who will be King.

If Charles Was a Victim, I'll Eat My Hat!!!!!!.......2006-04-04
This is a run down on Prince Charles' behavior. A single guy(and a future king) cheats with his friend's(Andrew Parker-Bowles) wife(Camilla); then continues to cheat with this same married woman while engaged to Lady Diana.
Then takes gifts to his married lover against the wishes of Lady Diana. On his honeymoon, tokens of his continuing love affair shows up in Camilla photos falling from his diary and cuff-links(two C's connecting).
The new Princess of Wales is rightfully hurt and confused.
This behavior of Charles hardly gets the marriage off to a good start.
Throughout the marriage, Diana is witness to numerous occasions where Charles(through actions or words) declares his never-ending love for a married woman and continues with his adultery.
Charles and Camilla showed as much disregard for Andrew Parker-Bowles' feelings as they did for Diana.
What is especially upsetting is that rather than publicly admit he was a heartless, cheating man, Charles continued to portray himself as a loving husband to Diana and a respectable man who would one day be crowned king. He was willing to let his subjects believe he was an honorable man.
Not only is the future king a cad, he is a liar as well!
Besides there is NO evidence showing Diana as metally ill, un-balanced or anything before her association with Charles. As for her tantrums, I would site inmaturity and sheer frustration as the reasons for her outbursts.
Diana was a normal, sane, healthy young woman prior to her engagement. Her bulminia did not start until after she moved to Buckingham Palace and she realized she was a Lamb to the Slaughter. It was then she realized her future husband did not love her and was very much committing adultery with a married woman. Adultery was something that Charles would continue to practice throughout their marriage.
What is equally the mark of a cad, is Charles even cheated on his mistress!
To write a book that basically white-washes Charles' moraless antics, is a disgrace and an insult to everyone's itelligence.
He is a Villain if I ever saw one!!!!!
Charles: Victim and Villain.......2001-06-18
This book is very pro-Charles which was to be expected. After all, both author and Charles are still alive. Diana can't fight back. And who knows what the truth is anyway?
There isn't anything really new in this book except details about how news of Diana's death was received at Balmoral, actions of Charles and the Queen then, etc. There are conflicts with other accounts I've read. Was Diana's face damaged? Was an autopsy done in Paris? Other sources said her face was unmarked and body was not autopsied until it was returned to London. It is little details like this that make me wonder about rest of the book. What is the truth?
I continue to be amazed at the influence the press has in England. Do they really have that much control over the Royal Family? Apparently they just make stuff up and everyone believes it. The Royals are so out of touch and isolated. I think they should just be left alone and out of the newspapers like they used to be.
Hoping for better.......2001-04-02
I knew when I picked up this book that Ms Junor was always very anti-Princess Diana - even when she was alive she was very outspoken - and was obviously very pro - Prince Charles. I had hoped though that with the death of the Princess even this hardened lady would present a balanced view of both sides. Instead I was left with the distinct impression that she had swallowed the whole "poor Charlie " line. It takes two to make a marriage and two to destroy it. But her bitterness towards both the princess and the Queen were quite frankly astonishing - especially for someone who used to be editor of the Majesty magazine. This lady has more chips on her shoulder than a totem pole.
I was horrified when Ms Junor decided she had the right to take on the role of amateur psychiatrist. That for me - was the end. I finished the book - but at the end of it all her superior attitude and downright condemnation of the Princess was appalling. I have no illusions that the Princess was not perfect. But she sold the princess as someone so calculating and evil that it does not equate with anything the rest of the world saw. I am not sure any of us thrown into that kind of limelight at the age of 19 would have coped any better - most of us would not. That does not excuse bad behavior. We all behave badly but most of us do not have "staff" to tittle tattle and exagerate our worst points.
I enjoyed certain parts of the book and learned a lot more about Prince Charles - assuming that that part of the book is a true and detatched discription. However - having just read the introduction to another biography where the biographer states that it is easy to become self absorbed with the person they are writing about and to loose their sense of detatchment. I feel that Ms Junor did not achieve that.
Spin on marriage favors Prince Charles.......2001-02-02
Where does the author get her evidence? First that Diana was first to cheat, second she threatened Camilla Parker Bowles. The book seems to justify the fact that Charles was involved with Mrs. Parker Bowles from even before the marriage and that it was alright because Diana was scheming and nasty to him. It tries to create a spin on the royal marriage favoring Charles and his liaison with Camilla. This is the book to buy if you are ardently pro-Charles and agree that Diana was completely to blame for the breakup of the marriage.
Definitely A Page Turner !.......2000-07-05
This book is very interesting! The author is obviously a GREAT fan of Prince Charles! From interviews that I have seen with the author, I fully expected a Diana-bashing book and I wasn't far from the mark! Just the mere fact that the Princess of Wales is not here to defend herself against these so-called "facts" of Ms. Junor's shows you what kind of diabolical mind the author has! Ms. Junor herself is making quite alot of money writing about the misfortunes of the Prince & Princess of Wales. I should hope that the proceeds for this book would go directly to royal charities and those who are TRUE victims all around the world! Surely Ms. Junor would not want to line her own pockets with this scathing book - or would she? Think on, Ms. Junor!

Bird on Basketball: How-To Strategies from the Great Celtics Champion
ASIN: 1570282358 |
Amazon.com
Even without his masterful debut as coach of the 1997-1998 Indiana Pacers, Larry Bird's brilliant, gutsy career with the Boston Celtics--three NBA championship rings and a trio of Most Valuable Player trophies--cries out for celebration and reassessment. He was a dominant player, a thinking player who controlled the game as much with his leadership as his keen passing, tough "D," and the soft touch of his jumper. In Larry Legend, Shaw interweaves chapters of Bird's biography with chapters chronicling his Coach of the Year season to create a hybrid volume; rather than do both well, he does both adequately. Everything is here--Bird's French Lick, Indiana, childhood; why he left Bobby Knight and the Indiana University pressure cooker for lower profile Indiana State; the glory years with the Celtics; the rivalry with Magic Johnson; the back problems; and the ways he re-created the Pacers in his own court-burned image. The problem is presentation. As he jumps back and forth in time, Shaw impedes his own flow, a foul that Bird never committed. That's too bad, because Shaw is a capable reporter who loves his subject and does an otherwise admirable job of fleshing out the life of a man beneath the "Legend" of the title. --Jeff Silverman

legendary journey to the top.......2001-04-12
Kevin VanSickle W131 "Book Review" Larry Legend is an interesting book about a boy who fell in love with the game of basketball and developed his own self-discipline as he became an adult. Larry Bird's success and consistent team management are his legendary qualities, according to author Shaw. Mark Shaw writes about Larry's roughneck childhood, what led to his triumphs in his high school basketball days, and through his professional career as a player, then a coach. Larry seemed to have gained confidence and self-esteem at a young age and by keeping those positive aspects he became an intimidator and motivator for many. This book will intoxicate your interest if you want to hear about the Legend's journey to the top. In Larry Legend, Mr. Shaw explains how the Legend himself was a role model, not only for young players, but also, his teammates and coaches around the league.
I learned a lot more about Larry Bird than I realized........2001-01-12
It was pretty indepth, and is a nice overview of his life from the time he was a legend in Indiana to coming full circle by coaching there. It also mentions his daughter, who has a distant relationship with his father. If you're a Bird fan, even if you're not, but you enjoy reading about basketball, this is worth the price. It paints a very balanced portrait of Bird. I like the fact that it isn't slanted one way or the other. It portrays the good and the bad. I'm a Bird fan, but I like objective journalism, which this seems to be. No schlock hero worship journalism here, nor is there any railing against him. Even though I like Bird, I will not condone his actions if they are perceived as wrong or controversial.
By Mark Shaw.......2000-09-13
as if it weren't popular enough, the author of this book is the step-father of Kent Harvey. The boy Knight (Coach Knight) grabbed and was the spark that lit the flame of his being fired as IU Coach.
Superb sports book.......2000-01-10
Larry Legend covers the whole Bird story. Author Shaw has a knack for revealing the little things about Bird that intrigued me. I think this is a must book for any Larry fan.
Book Description
Rookie of the Year. World Champion. All-Star. MVP. Coach of the Year. Throughout his basketball career, Larry Bird has gathered countless accolades and awards. From Springs Valley High School to Indiana State University to the Boston Celtics to the Indiana Pacers, one thing has remained the same: Bird's commitment to excellence. Drawn from the archives of The Indianapolis Star/News.
Book Description
This study of Martin Scorsese's works looks closely at the cinematic text of the films themselves. Unlike other books on Scorsese, which favor the discussion of broad themes and plot summary, Nyce also examines particular shots and sequences of shots. Scorsese Up Close mirrors the same scrutiny that the filmmaker brings to the shooting and editing process.

Book Description
The Directory provides an indepth examination of the growth of the American disc record industry from the introduction of Berliner's disc Gramophone through the Petrillo recording ban. It examines the histories of more than 330 labels and their manufacturers, chronicalling the growth of the disc record from a crude toy in the 1890s to a multi-million dollar industry in the early 1940s. In this process, the Directory shows how power eventually came to rest in the hands of several major manufacturers. Taken largely from original source material, the Directory reveals master sources, master leasing policies, as well as examples of outright piracy. By tracing technological developments, corporate relationships, and the effects of changing musical tastes on the early record industry, Sutton provides an invaluable reference tool for all libraries and researchers concerned with recordings and the record industry.

Customer Reviews:
Why do we need another rulebook?.......2007-02-02
If you don't find this helpful, then i'm sorry!!
To sum it up:
Competitive Players:
The USCF's official rules of chess is fine if you want an in depth book which has every possible necessary rule you would need in a tournament. If you want an "Official, In-depth book" this is it. No other book has rules that are official - period -.
Learning the Basics:
If you are a beginner and want to learn the rules of chess, first you just need to know how the pieces move and check/checkmate. If you have come further along to the concepts of promotion and castling, thats good too. Anyone who fully understands enpassant must have a knowledge of the rules that gets them farther than most people want to go with chess. "Play winning chess" by Seirawan or any number of all the beginner books out there will teach you the rules.
Learning Tournament Basics:
I'm talking about clock etiquette, 3 move repetition, and so forth. Most people learn these rules from friends or coaches at a tournament, but if you really need a book on it, "Winning Chess Tournaments For Juniors" is fine. anything else is a waste of $$$.
Learning the unofficial "official" rules of chess:
What was schiller thinking??? And why do we need a 2nd edition? as if the rules have changed??? His "official" board has decided that the "official" rules have changed.
Or more likely:
Schiller: I don't know if we can go on vacation this summer if we don't have the money
Publisher: Just write another book tomorrow
Schiller: I know, I'll write the official rules of Chess!!! Dumb people will want it!
-next year-
Schiller: You know, after writing such dumb books like Standard Chess Openings (he acts like he's the authority!) and cranking out some other junk, I still don't have enough money. I know, we'll alter the rules of chess. We'll call it a "2nd edition"
Publisher: Sounds good Eric, shall I have it edited?
Schiller: No need, no one will notice!
Very few of Schiller's books are worth it
Conclusion:
Don't Buy!!!!
Ever!
Two sets of "Official Rules" in the United States?.......2006-08-16
Whearas, the "United States Chess Federation" has their own official rulebook it is not user friendly to a beginner or a person who is new to the tournament world in the US.
Did you know that the United States is the only country in the world who doesn't use the FIDE ("World Chess Federation") rules?
Now this being said what could the United States Chess Federation do to assist players with their rule book who are not experienced tournament directors and players?
The solution would be to write a book that:
1) Points out which rules are the most important rules from a practical standpoint for a player to know,
2) Explains in more simplistic wording and detail what the important rules mane to make them more understandable, ranging from the detailed sudden death rules to understanding how to read a crosstable.
3) Point out some of the faults with the rules. This is unlikely because the rule makers are unlikley to admit to any problems - BUT THEY DO EXIST.
Mr. Schiller's book calling itself the "Official" rules implies that it has "official" approval from the governing body of chess in the US, "The United States Chess Federation". It does not and many officials have found it rather offensive to say the least to see the word "Official" on the cover.
Non-the-less Schiller's book in interesting and to some degree helps give a different wording of what is intented to be an "official rule". Unfortunately, sometimes it changes the meaning of the rule. But getting Schiller's rule book is not a bad idea as long as you already own the USCF's Official Rulebook. Schiller's book cannot be used in USCF tournaments in any manner. There is at least one book, that is specifically directed to supplementing these rule books that doesn't change the meaning of the words but does take a large number of most important rules and explain them and points out some of their faults. It is a book called "Winning Chess Tournaments for Juniors". Very user friendly and is recommended for every newcomer to chess as a suppliment to the rulebook, or a book to be used to learn how to train in chess.
As far a Schiller's book goes it can use some updating, rewording, and should not call itself "official".
Not what it purports to be.......2006-03-08
I'll state upfront that I was reading the first edition of this book, not the second, so perhaps some of the flaws I saw were fixed in the second edition.
I found the first edition of this book annoying. I'm a parent, trying to run a chess club, and I was looking for readable tournament rules. This book IS readable, but it's filled with clunky definitions, what looks like a tiff with the USCF, and also several typos.
I also do not appreciate the word "Official" in the title of the book, which vastly misrepresents the book's place in the chess world.
My recommendation is to buy the latest edition of the real "official" book: the "United States Chess Federation's Official Rules of Chess."
Curious and yet interesting.......2003-04-30
The United States Chess Federation (USCF) publishes an "Official Rules of Chess" which is more generally thought of as "the" official US tournament rules. I wondered, therefore, whether publication of "another" set of "official rules" made any sense, other than as a marketing ploy. This book, though, proposes a workable set of rules for play. The authors take a small swipe at a flaw or two in the USCF rules, which swipe seems to me largely unnecessary. The authors do make the useful observation that most chess is not played under USCF auspices. However, most US "live" rated chess probably is, which this book obscures. But if the title "Official Rules of Chess" is a bit strong, given that the USCF "official rules" are probably used for more over-the-board rated games, the book is nonetheless an enjoyable read. I suppose I wish that the title were "Rules of Chess--a Proposal", but even that title would not quite work, as this set of rules is in use for at least one scholastic chess league.
Why should one buy this book when it is not a "USCF" official rules book? Perhaps because it's got good sections on chess etiquette, good suggestions for rule variations, and an easy, free flowing style. Mr. Schiller's smooth style remains quite readable.
I docked this book a star because of its title "Official Rules".
But I found it a fascinating read, nonetheless. It's a good buy for those interested in chess possibilities, but perhaps a less essential buy for those literally hunting US "official rules", who would do much better by buying the USCF official rules.
Not what it purports to be.......2001-12-04
I suppose anybody can start a chess organization, write a rulebook, and declare the book to be the "official" rules of the organization. In this case the breakaway organization appears to be the Chess Education Association, whose All-America Cup in November 2000 drew 29 players to its high school section. Similar events run by the U.S. Chess Federation (USCF), the generally recognized governing body of American chess, regularly draw in the thousands. This book is certainly not for the beginner attempting to learn the rules of chess. Few beginners could figure out how the knight moves, based on the book's explanation: "The knight moves to one of the squares nearest to that on which it stands but not on the same rank, file or diagonal." The definition of checkmate is just plain wrong, as "a position such that the opponent's king has no legal move which would avoid the capture of the king on the following move". This definition overlooks interposition and capture as ways to get out of check, and fails to distinguish between checkmate and stalemate. The book is not for the aspiring tournament director, either, as the details are woefully inadequate, especially the discussion of Swiss pairings. The book might be acceptable for the player who already knows how the pieces move and is about to enter his first tournament, but even here there are pitfalls. For example, standard USCF rules state that, if both players run out of time before either notices, the game is drawn, while this CEA version tries to make the arbiter figure out which player's flag fell first. If this book has any strong points, they are the Etiquette section and the advice to Chess Teachers, Coaches, and Trainers. These sections fill a need in the often overlooked area of sportsmanship at scholastic chess events. The book would be improved by a more honest title, such as "Proper Procedures for Young Chess Players", and the removal of such words as "absurdity" in the discussion of USCF rules. If you buy this book for amusement, be sure to read it with a grain of salt. Greatly preferable is the USCF version, either the current 4th edition or the upcoming (in about a year) 5th edition.

Customer Reviews:
Clearly a Home Run!!!.......2006-03-18
This is one of those books that I wish I had written. As an experienced deal maker, I know what works and what doesn't. This book explains from a highly practical perspective the "art and science" of the deal. The author clearly has done his share of transactions in terms of his ability to capture the dynamic nature of the deal structuring and acquisition process. The author, as the chess master, goes through the development of alternative deal structures and strategies designed to consummate the deal. The process of offers and counter-offers is illustrated in a delightful and comprehensive case study at the end of the book.
The book is written with a fluid style that brings what for most are very difficult concepts to life in a readily understandable yet rigorous way. The author's nummerous insights are documented through references to recent academic and practitioner studies and illustrated by using recent case studies. I find the author's frequent use of brief studies of transactions to illustrate his current point very enlightening.
This book is far more than a reference or textbook; it is the reader's ticket to learning how to do deals and implement corporate restructuring activities. The book abounds with numerical and non-numerical examples to illustrate how to do things. The CD included with the text is easily worth the price of the book in that it provides numerous complex deal structuring and valuation M&A and LBO models. The CD also contains a wealth of other information including question lists for conducting due diligence and solutions to case study questions and problems contained in the text.
Yes, I wish I had written this book. But, then, those things are best left to those who can.
A Refreshing New Approach to Learning.......2006-01-01
Many business books take a pedantic, ponderous approach to what could easily be characterized as a challenging subject. However, I found the lively writing in this book to be very helpful to keeping my attention and to making difficult material more understandable. While the book is exhaustive, I found each chapter to be largely self contained. This text is clearly the most useful I have read on this subject. The CD included with the book contains models, presentations, chapter outlines, problem sets with answers, etc., all of which make this book the best available on the market.
Great Book and Great CD.......2005-12-22
This book is a one-stop shop for those interested in M&A. It covers all the relevant topics from how to develop a rigorous business plan appropriate to undertake an acquisition, to identifying and approaching target firms, to succesful negotiation, to planning and performing due dilgence, to planning and implementing successful integration, to financing the transaction. The book also addresses how to design effective takeover tactics and defenses. I was most impressed with the extent of the explanations about how to design and implement acquisition plans from a real world perspective. The author also addresses how to design effective takeover tactics and defenses. I also found the material on the M&A implications for governance very valuable.
The book is also very well documented. The extensive list of publications is very helpful for locating more articles and books on this exciting subject. I found the glossary of M&A terms among the most useful I've seen. It could be published as an M&A dictionary. The numerous case studies sprinkled throughtout the book are very helpful in demystifying the subject.
The CD included with the books contains a wealth of material often available on the internet for hundreds of dollars. The detailed M&A models and leveraged buyout models and due diligence question lists are available for customizing to meet your specific circumstances. I found the buyer due diligence question list in electronic form to be very valuable when it came time to making changes for my own needs The chapter outlines, study guides, and presentations also included on the CD are very helpful in internalizing the material. The CD also contains ansewrs to many case study questions and chapter questions.
All things considered, this book is a must have for anyone serious about learning the subject.
Highly Student Friendly.......2005-11-25
I am currently using this book in an M&A class and have found it to be an excellent business book. The book is exceptionally well organized, intuitive, and well-written. The book's use of bold type, self-explanatory headings facilitates the overall organization of the material, finding subject matter, and understanding key points the author is trying to make. The book is rich in examples, something that is often lacking in many books. The case studies for the most part of current, instructive, and insightful. The book is full of helpful insights and practical advice.
The CD -rom included with the book contains a lot of very useful stuff including powerpoint slides for each chapter, study guides for each chapter including chapter outlines and sample test questions and anwers, as well as anwers to many of the case study questions and problems in the book. The merger, acquisition, leveraged buyout and real option software illustrates how the pros analyze and value businesses. There are no secrets as you are able to access the underlying excel instructions to see how the models tick and to change them to suit your needs.
Overall, I would give this book an A+ for insightfulness, openess, practicality, readability, and organization.
Superb!!!.......2005-11-16
As you can see, I am very impressed with this book. It is by far the best book I have read on the subject in terms of thoughtfulness, organization, documentation, and practicality. It is full of well explained examples that make would could be a daunting subject understandable. The book comes with a CD that is full of M&A and LBO valuation software and excel spreadsheets, as well as a lot of other good stuff including powerpoint presentations highlighting lecture notes, student study guides, and answers to practice problems. All things considered, I would give this book a resounding thumbs up for those wanting to use in in their personal libraries, professions, or in the class room.

Professor DePamphilis has filled this book with updated cases and grounded models which reflect the theoretical underpinnings of the field. Expanded usage of "key idea" section headings enable the student to understand more easily the key point in each section of each chapter. Chapter 5 provides a detailed listing of questions commonly used to evaluate target firms doing due diligence. A primer on using financial ratios in Chapter 8 has been extended to include a convenient summary of commonly used financial ratios and suggestions as to how they may be used to evaluate target firms. The accompanying CD includes a set of Excel spreadsheets that supplements Chapter 8.
An Instructor's manual, available on the web, contains suggested learning objectives, chapter presentations for creating lectures or providing students with study guides, more than 750 test questions and answers (including true/false, multiple choice, essay questions, and practice problems), and solutions to all chapter business case studies in the book. Customer Reviews:
Comprehensive and Useful M&A Text.......2005-08-04
This is an excellent book. The author thoroughly describes the process and analysis of mergers and acquisitions. He also outlines LBO's, shared growth, and alternative exit and restructuring strategies.
Includes great M&A modeling software.......2003-06-14
This book takes the mystery out of M&A financial modeling and structuring deals. Many books on the subject seem to take a "black box" approach to how to do deal structuring and valuation. The author discusses in plain language how to do valuation, simulation, and deal structuring using financial models and how to use such models to select the best offer price for a target firm. The book includes detailed discussions of tax, accounting, and alternative deal structures.
The CD accompanying the book contains an Excel spread sheet model that can be modified to fit the unique circumstances of any transaction. This alone justifies buying the book, in my opinion.
The book also provides keen insights into how M&A can be used to implement business plans, how to identify potential target firms, strategies for contacting potential targets, and how to draw up initial documents such as confidentiality agreements and letters of intent. The book is highly comprehensive covering virtually all topics necessary to understanding the M&A process.
For the money, it is the best book on the subject, up-to-date, complete, and highly readable. If you have a serious interest in the subject, this is an important book to add to your library.
Outstanding treatment of technical/non-tech.aspects of M&A.......2003-04-07
Unlike many other treatments of this subject, this text discusses M&A in the context of a process or framework. The author takes great pains to show how all M&A related activities interact. The text discusses both technical (e.g., valuation, accounting, and tax issues) and non-technical (e.g., strategy development, identifying potential targets, initial contact, negotiation, and integration) issues. The book does an excellent job of talking about alternatives to M&A for executing strategies, including alliances, joint ventures, partnerships, etc.
Numerous recent case studies illustrate various concepts and situations. The coverage of laws affecting different types of business combinations, of accounting standards applicable to M&A, and of relevant tax considerations is both current and excellent. The book also contains useful checklists to facilitate implementing transactions. The book is also chock full of helpful insights and hints of what to look for and how to avoid the traps that often accompany different types of transactions.
The book also contains an excellent discussion of other ways to enhance shareholder value. These include spin-offs, divestitures, carve-outs, bust-ups, and bankruptcy.
The book is highly practical and well-documented and could be viewed as a handbook on how to use M&A (or alternatives to M&A) to execute business stratgies. I think the book is an indispensable reference for accountants, lawyers, investment bankers, CFOs, and others involved in making transactions happen.
Thoughtful, Stimulating, and Enjoyable.......2003-03-22
This book is very well written...packed full of helpful information on M&A. The author's use of short cases to illustrate key points was most helpful. I found the down to earth discussion of how to put deals together very clear. I particularly enjoyed the fact that the scope of the book included an extensive discussion of alternative strategies such as JVs to mergers and acquisitions. The author also managed to include an exceedingly large number of case studies in the book, many of which were international transactions. Good book, good read. I highly recommend it.
Great M&A, Valuation, and Modeling Book.......2003-03-16
While this book covers all aspects of how to do a deal, the chapters on valuation, deal structuring, and financial modeling are by far the most lucid I have seen. The Excell spread sheet model on the CDROM accompanying the book provides incredibly helpful insight into how purchase price strategies are developed. The reader can review all of the underlying formulas enabling them to modify the model or to develop their own. Moreover, the model provides the reader with unusal insight in how all valuation, tax, accounting, and synergy considerations converge and interact to affect price. Overall, the book is very well written, clear, and supported.
