Best PIPE book out there.......2005-04-22

The most informative book about Private Investments in Public Equity out there. In particular, Richard Gormley's chapter on the emergence of the PIPEs market is brilliant. Gormley's knowledgeable discussion of the market, structure and dynamics of PIPEs is both informative and practical, and leaves the reader with a good understanding of this important, developing financing alternative.

Superb Introduction to PIPES through 2002.......2004-06-21

Seldom have I read as informative and as easy to understand a book as this one on a little understood area of private finance. PIPEs (Private Investments in Public Equity) mainly appear in the business press when something goes spectacularly wrong, so they have had a spotty reputation. With a weak stock market since 1999, it?s been harder to make money on PIPEs as an investor. But PIPEs have been even more important to those smaller companies which need equity financing before they can do a public offering. So PIPEs are here to stay, and this book is a superb way to begin your introduction.

The book uses essays from top professionals in the field to define the different types of PIPEs; measure the history of PIPEs; describe the perspectives of issuers, lawyers, bankers, accountants and investors; outline the legal issues involved; show examples through term sheets, case histories and due diligence examples; and describe probable future develops in the field. If the book has a weakness, it is that the essays have some repetition in them . . . but that's essential to be sure that the terms being used are understood clearly by the reader.

This book will be essential reading for CFOs, treasurers, hedge fund managers, venture capitalists, bankers, lawyers, accountants, consultants, scholars and finance students.

I thought that the material in Part Three was the strongest in the book. You will probably understand the subject better if you skip to Part Three after reading the overview by Richard E. Gormley and David W Stadinksi from SG Cowen. Then go back to the second essay by E. Kurt Kim of PrivateRaise and follow through to the end of Part Two. If you don't need to understand the legal background, you can skip Part Two.

Anyone who wants to learn how to do better due diligence in any area of finance can learn a lot from the fine essay by Stewart R. Flink of Crestview Capital Funds, "Due Diligence: Caveat Emptor Squared."

I was particularly pleased to see that the essays generously point out all of the ways that these deals can be misstructured, and how you can make a mistake as an investor. Hopefully, the track record of future PIPEs deals will improve as a result.

Highly Recommended!.......2004-05-02

This is an excellent and comprehensive introduction to PIPEs. The acronym stands for Private Investment in Public Equity, and this includes not only common stock but warrants and other permutations of equity. Companies often issue PIPEs when they need capital but when market conditions make it imprudent to raise funds through a public offering. Most PIPEs investors are sophisticated institutions, and hedge funds are probably the most active participants in the market. PIPEs are a high-risk investment with abundant legal, market, regulatory and other complexities. This book neither attempts to sell PIPEs nor to discourage people from buying them. While somewhat repetitive, it is reasonably objective and reasonably thorough. We strongly recommend it to professional investors.

Essential reading material!.......2004-04-28

As a layman in the world of finance I found this particular book to be extremely helpful in explaining PIPEs in overview as well as the finer points of a PIPE transaction. I highly recommend this material to anyone who would like to learn how a PIPE works.

Clear, concise intelligent survey of PIPEs for us small guys.......2003-05-01

I have been CFO of a small-publicly traded company for about 5 years now and this book is long overdue!! Many of the people doing PIPE deals are shady individuals who try to take advantage of companies hurting for cash. Kleiman and Richards do exactly what the title says. They provide a guide to CEOs (and CFOs) explaining PIPEs in layman's terms. I read the reviews here before buying the book and I still don't understand the one from the guy who claims he has been in the "business of privately placing securities for public companies." This book wasn't written for you. It was written for people like me who people like you take advantage of! I'm a relatively intelligent person, but until now, no one has been able to clearly explain PIPEs to me. This book does it clearly and concisely. I highly recommend it to anyone who doesn't want to get ripped off by fast talking investment bankers.

As someone who's been working in the business of privately placing securities for public companies, I can confidently say that this book is terrible!! Not only is this the most expensive 75 page book I've ever seen (only half of the pages have any text on them) but it's written for grade schoolers. This book assumes that you have ZERO understanding of finance. Of course, if you are new to finance, you probably don't want to read this book anyway.....

Big step in the right direction.......2003-03-19

I'd strongly recommend this book to anyone contemplating private investment, not necessarily just PIPEs. It is well written in language that is neither overly technical, not condescending and covers most of the questions that a CEO is likely to raise when faced with raising private equity. Having said that, I was also hoping to get more insight into the disclosure aspects of PIPEs versus a public offering and greater insight into the relative advantages and disadvantages of the one versus the other. An illustrative example of the placement document itself would have rounded the book nicely too.

I learned a lot..........2003-03-15

As an MBA with an emphasis in Finance, I learned a lot about this innovative investment strategy that I didn't even know existed! This book highlights some potentially great synergies and opportunities.

Given the shifting sands of the economy and the current skittishness of investors, this book could very well be a road map to hidden treasures for both private institutions with available cash and good, solid businesses that don't have access to the public markets at this time.

The fact that Mr. Kleiman himself has run a a publicly traded company short on capital AND successfully entered the PIPEs business with 120 transactions worth more than $1.5 billion makes him an excellent source of information.

A Fast, Insightful Read.......2003-03-15

This is a not only a fast read but is filled insightful information on what could otherwise be a difficult topic to understand.Not so with PIPES.The book is structured so that you can either breeze through selected specific sections or read it straight through in one plane-ride home.

The authors have done more of these kinds of deals than just about anybody in the country , and it shows in the writing. Now that the public markets are so hard hit and there is virtually no VC money available (same with IPOs) private offerings have entered the vanguard of corporate finance.I wish this book had been out when I was studying finance in college. It would have give me a leg up on the competition.

A bit biased towards using stem cells but not too much. He really tries to just show you the basics of the debate and the science behind the debate, which many people dont know. So if you want to understand more about stem cells, where they come from, their potential, the alternatives, etc. this is the book to start with.

Accessible, thorough primer.......2007-05-26

Scott's book explains stem cell research for laypeople, with enough personal anecdotes and wisecracks to keep the science-shy awake.

He doesn't exaggerate potential applications or limitations, and he explains that stem cells could be good for much more than stem-cell therapy. The thorough ethics section concisely and precisely covers everyone's views.

Here's the first two sentence from a review of the book in the magazine Nature on May 10. "Christopher Scott's little book Stem Cell Now is fundamentally a primer on stem-cell research, suitable for lay readers and freshmen. It offers accessible descriptions of stem-cell science and analysis of associated ethical and political issues."

A good "Brief Introduction".......2007-01-21

What can I say ... if there is some line of medical research these days that could have promising results for the treatment of some of the difficult illnesses known, that is stem cell. This book provide a layman introduction to the subject, the different types of stem cells and lines of investigation. Also, half of the book is dedicated to the ethical problems that embryonic stem cell research is facing, specially in the U.S.

Great for middle school students.......2006-12-06

This book should have two ratings. I rate it higher (4 stars) for young readers. For more science 'savvy' adults the science is rather weak and much is over simplified. I was looking for something on hESC with more depth but not at the professional level. I'm still looking. However, I highly recommend this book to youngsters and others with limited biology background. The politics chapters obviously (from the title) favors the pro-hESC research, but they are fair. Again there could be more depth.

Social & Scientific Impact.......2006-06-10

Scott has done an excellent job in concisely presenting both the social & scientific impact of stem cell science, in an engaging & objective manner. I particularly enjoy the sections that illustrate the complicated ethical arguments behind the current debates about the field.
'Stem cell now' is one of the most readable book in the market that provides readers with good introduction to this promising scientific field. I would also recommend Ann Parson's 'The Proteus Effect', which vividly presents stories about the scientists behind the scenes, and also Scott Anderson's 'Human embryonic stem cells', which provides more technical detail about the science.

This is a surprisingly well explained and self contained book of the subject. It covers the whole range of applications and theory that a geophysicist will need, going from the whole earth to regional and local applications.

Remarkable points are:
The mathematical foundation of the potential
Spherical harmonics in gravity and magnetics fields
Implementation of the computation of local anomalies
Forward and inverse problems
Application of Fourier transform to potential fields.

This was the textbook for my Potential Fields class where we covered the first six chapters; I also used it for my Inverse Theory class as a reference and I found in this title all I needed for my final project . All the persons thatI recommend the book bought their own copy including my professor.

The book expands subjects that are barely touched (or considered a curiosity) by general books of Exploration Geophysics, like for example:

downward continuation
pseudo-gravity
annihilators
non-linear inverse problems, etc.

The exercises at the end of the chapters are challenging and complement the material very well and the FORTRAN scripts of the appendix are really helpful.

This title is definitely a must have for anyone involved in geophysical applications of Gravity and Magnetism in either exploration or basic research.

Required background: Vector calculus and differential equations.
