Shareholder value-- the real key to creating wealth. --Fortune Magazine

Customer Reviews:

5 out of 5 stars Keep it Simple.......2003-05-14

I despair of acedemics intent on picking holes in the acedemic rigour of books on shareholder value. Businesses are run by business managers. They leave "trendy" financial concepts for the FD to trot out to the board, in vain and ad infinitum. Bridge the gap between those who run the business and the cerebral numerates who keep score and you will...create shareholder value...hurray. This book does just that.

1 out of 5 stars Mr. Black - I stand by my judment, Your book is unscientific.......2002-10-03

Dear Mr. Black, as You did critize my review of your pamphlet, I hereby reply, that I stand by my former judgement. My former review does NOT accuse You of 'selling yourself' to SAP, nor does it question the features of SAP-products, or PWC. However, the scientific content of Your book was so low, that it had to be contradicted. These are my main points of criticism: (1) It does not catch the microeconomic logic behind EVA/CFROI: The concept of microeconomic producers rent. EVA is based on a static concept of economic rent, CFROI on a dynamic concept of economic rent.

(2) EVA implies linear simulation, CFROI non-linear simulation (e.g. experience curve effects).

(3) CFROI can be more easily aligned mit Real Options for strategic decisions.(e.g: the experience-curve-effect is a system dynamics modell for a dynamic Cournot/Nash-Oligopoly, which includes a Real Option for capacity extension during the growth phase of an homogenous product one produces with a substitutional technology with an S-shaped path for performance improvements ). If you try to align EVA with Real Options, you run the danger of creating unrealistic scenarios, which violate the laws of oligopolistic theory .

(4) EVA encourages managers to milk a business as it is based on linear depreciation concepts, nominal values, undervalues growth options, and implies linear simulation.

(5) In my 1998 edition there were indeed many mathematical errors (e.g. On the last past text page there was a formula with missing brackets). Your definitions of EVA and CFROI were grossly simplified, and can lead novices to misunderstandings.

(6) Your book fails to mention, that VBM requires consolidated financial statements for the last 5 years, and it does not explain, how to filter the relevant data. E.G: To use VBM in a senseful way, you must factor out transfer pricing, tax shelter effects, accounting distortions by cost budgeting techniques, the shelter effect of financial leverage e.g. Copelands 'Valuation' covers those topics without shocking novices with overly complex formulas - but your book totally ignores these topics.

(7) Some pictures in Your book have got a striking similarity with some charts in earlier editions of Copelands 'Valuation', but You did not have the courtesy to thank Copeland/McKinsey.

(8) You do not warn the reader about the dangers of VBM: Milking a business. If EVA/economic profit had an effect on industrial productivity, we would expect the UK to have the highest productivity in the world, because economic profit was invented by british companies such as BTR and Hanson in the late 1960's. The opposite is true !! In the 1970's the british industry collapsed - because economic profit + primitive linear simulation methods encouraged british managers to milk their companies, keeping prices high and deffering investments, until their assets/market share shrank below minimum-efficient scales.
A chart in Copeland 'Valuation' shows, that in the 1970/1980#s british productivity stagnated both in absolute and relative terms - while german and japanese companies manged to catch up.
Michael Gould "Corporate Level Strategy" ( a Boston Consulting Group publication which dates back to 1994) describes in much detail, how your 'financial controll style' encouraged BTR and Hanson to withdraw from high technology, to burn out assets and employes, to defer any investment in quality, research and education. Poorly applied Economic-Profit-Models were not the only reason for Great Britains industrial decline, but they did reinforce other problems: notoriously confrontational labour-relations and a poor level of professional education. If a CEO milks his company, cutting down investment in education/new machinery, his labour union will retaliate and do the same, asking for higher wages.

Summary: Your book has no scientific value and proposes a grossly simplified approach to VBM, that leads to desastrous, strategic mistakes. Poor Economic-Profit-Models achieved in no more than two decades, what 6 years of incessant bombing by the German Luftwaffe in world war two did NOT achieve: The total desindustrialisation of Great Britain. An industrial heritage created over a period of 100 years was sold off for a few years of high shareholder value.

Does that mean, that VBM is nefarious ? No, it does not.
VBM has got a future, if you ask real experts to simulate CFROI with system dynamics models and Real Options. CFROI, real options and system dynamics were first applied by the Boston Consulting Group back in the early 1970's - about 30 years ago. Therefore I stand by my judgement: Your book is dangerous and not scientific.

5 out of 5 stars An Author comments !.......2002-07-09

I couldn't help but look at some of the reviews, admittedly rather a long time after the 2nd edition now. The book is really designed as a primer on the subject, and also to maintain the links between what is going on in the equity market, and what is going on internally inside the corporates. As such we steered a path between making the book overly complicated and hence off-putting, and between making it overly simple. It was never designed to sell SAP software, as one reviewer suggested, and indeed, its overall position in the PwC offering was less clearcut than it should be. Perhaps to remind readers that it originated from the old PW company might explain rather more. The descriptions and analysis of the models are reasonably correct, including that of the CFROI model - at least judging by the materials I had to hand. The critique on the replacement value of assets and the corresponding weakness of the EVA model is a valid point, made elsewhere, but also picked up in the book I believe. Yes the book has been used extensively by PwC people, but by no means exclusively so. Yes, we did go on to develop a VBM offering out of it, but again not exclusively around the book - though it helped. The combination of the approach (Valuebuilder, which is not for sale), capital markets, consultancy and corporate governance issues remains very useful, and rather distinct from a number of other offerings in the market. So, do continue to buy it and read it !!

1 out of 5 stars Public-Relations-Appetizer - no scientific value.......2001-05-24

I do NOT recommend this PriceWaterhouseCoopers-publication, because it is an appetizer, which PWC use to sell their 'ValueBuilder'-Toolset, and they use their ValueBuilder-Toolset in order to sell SAP R/3-Software to their customer.

I know what I am saying, because I have got a degree in Business Administration and 6 years of experience as a consultant. Their book is superficial, and most mathematical formulas have been simplified, so that they are wrong. This book does give you an overview over Shareholder-Value-Methods and it might entertain a layman, but it does NOT - enable you to calculate SHV - enable you to design Value-Based-Management-Systems (VBM) - enable you to integrate VBM with ERP-Software such as SAP R/3

The book does not catch the underlying microeconomic logic behind shareholder-value-methods, its explanation of CFROI is wrong, and it does not warn you about the downsides of EVA: - the tendency to milk a business because EVA does not force a manager to reinvest assets at their replacement cost - EVA'distortion by inflation - its low correllation with shareholder value

It seems, that this book has been hastily scribbled together by a ghost writer, who stole most formulas und most charts from Copeland#s McKinsey-Handbook 'Valuation', but who did not have the courtesy to quote his source.

All in all, this book is worthless. Anybody with a serious interest in Shareholder-Value should read Copeland 'Valuation'.

5 out of 5 stars Easy to read, well laid out for a complex subject.......2001-03-17

Most people hate lots of numbers and formulas. This book handles them well. This book clearly describes the concepts of Shareholder Value. I think this book, and many of its SV kind, are great for corporate financial people who have (mostly) accurate accounting numbers.

But for investors looking in from the outside, SV becomes difficult to implement. For example, what truly is EBITDA? Cash Flow? Which one? These illusive investor numbers make the SV process hard to implement for those of us without access to the real corporate books. Or at least, the process of determining the correct numbers is more difficult than the SV process lets on... in the world where accounting numbers and forecasts can be made to be anything the CEO or CFO want.

All in all, this methodology has brought a revolution to the corporate financial world. Divisions can now be compared with more rigor. This book easily and clearly explains the logic. The authors care about their subject and it shows.

        Book Description

This study examines the operations of the popular economy and social life of southern Nigerian people under the incoherent conditions that followed Nigeria's first currency devaluation in 1986. It describes in detail the institutional and cultural innovations that fostered local economic activity and strengthened social groupings. The book questions standard views of either chaos or stagnation in the African popular economy under autocratic rule and incoherent policy. It shows how over 100 million people continued to make a living and maintain high levels of equanimity and productivity even in the face of chronic turbulence. Despite economic challenges, regrouping, institutional innovation and cultural elaboration did take place, often in ways that reforged the relationship between formal and informal economic practices and among local, regional, and global economies. The book's case studies, taken together, identify distinct patterns and directions of growth at a time when many observers thought that chaos seemed the most likely outcome. This is an important contribution to the literature on the social history of globalization and to interdisciplinary analyses of local social, cultural, and political economic systems.

            --Mark TushnetGeorgetown University Law Center

An exceedingly well-informed look at the most important trend in legal scholarship today. An excellent, readable presentation of the most controversial and difficult ideas about law and legal culture.
            --David KennedyHarvard Law School

What do Catharine MacKinnon, the legacy of Brown v. Board of Education, and Lani Guinier have in common? All have, in recent years, become flashpoints for different approaches to legal reform. In the last quarter century, the study and practice of law have been profoundly influenced by a number of powerful new movements; academics and activists alike are rethinking the interaction between law and society, focusing more on the tangible effects of law on human lives than on its procedural elements.

In this wide-ranging and comprehensive volume, Gary Minda surveys the current state of legal scholarship and activism, providing an indispensable guide to the evolution of law in America.

                Book Description

Mineral emissions from agriculture include nitrogen, phosphorus and heavy metals, derived particularly from fertilizer use and farm animal wastes in intensive agricultural systems. These have the potential to cause pollution and affect the quality of water, soils, and agricultural produce. This book presents analyses of the economics and policy options related to nonpoint-source pollution in European agriculture. The book includes both theoretical analyses and empirical studies from several countries. It represents an important volume for research academics and professionals in soil science, environmental and pollution studies, and agricultural and environmental economics and policy.

                4 out of 5 stars FTIR Bible.......2000-09-30

This is a great reference for anyone designing or using FTIR instruments. This book is really intended for the advanced users and is worth the price. The only major drawback is that it is getting a little dated.

The book is really geared to the chemist, however, additional material on alignment techniques and a more complete and jointed discussion on design trade-offs and instrument characterization would make it much more useful to other users.

Bottom line: It is still a great reference

4 out of 5 stars The Classic Reference on FTIR.......2000-09-01

This book is the Bible of FTIR, written by the twin gods of FTIR, Griffiths and DeHaseth. It contains as complete an introduction to the theory and practice of this field as is available. Anyone who wants a detailed understanding of this field, and in particular how FTIRs work, should own this book. However...there are 2 reasons why I gave the book 4 stars instead of 5.

                1. The book is written at a rather advanced level, and is full of mathematics. For doctorate level scientists and engineers this is fine, but it blows away anyone without the appropriate math and science background. As a result, beginners to the field are often times frustrated with this book. The book is more approriate for instrument designers and lab managers than it is for the average technician running spectra.

                2. The book was written in 1986, and parts of it are terribly outdated. Not surprisingly, discussions of specific computers, software, and instruments were outdated years ago. Things that the book predicts will happen, have long ago come to pass. Certain important new developments, such as IR Microscopy, FT-Raman, and new applications of Step Scanning, are totally missing. Come on guys...its time for a new edition.

                  Description:
In this work it has been shown that the routine ASTM methods (ASTM 4052, ASTM D 445, ASTM D 4737, ASTM D 93, and ASTM D 86) recommended by the ANP (the Brazilian National Agency for Petroleum, Natural Gas and Biofuels) to determine the quality of diesel/biodiesel blends are not suitable to prevent the adulteration of B2 or B5 blends with vegetable oils. Considering the previous and actual problems with fuel adulterations in Brazil, we have investigated the application of vibrational spectroscopy (Fourier transform (FT) near infrared spectrometry and FT-Raman) to identify adulterations of B2 and B5 blends with vegetable oils. Partial least square regression (PLS), principal component regression (PCR), and artificial neural network (ANN) calibration models were designed and their relative performances were evaluated by external validation using the F-test. The PCR, PLS, and ANN calibration models based on the Fourier transform (FT) near infrared spectrometry and FT-Raman spectroscopy were designed using 120 samples. Other 62 samples were used in the validation and external validation, for a total of 182 samples. The results have shown that among the designed calibration models, the ANN/FT-Raman presented the best accuracy (0.028%, w/w) for samples used in the external validation.

                    Description:
By means of liquid Fourier transform-middle infrared spectrometry, it is possible to analyse wine and must within 90s simultaneously on a significant number of important parameters like alcohol, relative density, extract, sugar-free extract, refraction, conductivity, glycerol, total phenols, reducing sugar, fructose, glucose, sucrose, total acid, pH value, volatile acid, total SO"2 and tartaric acid, malic acid, lactic acid and citric acid. Within a short time, it is possible to obtain information on the chemical composition of the product and it is useful to monitor the changes in chemical composition from beginning of grape ripening, must and fermentation to finished wines. Additionally, it is possible to obtain a fingerprint of the products which can serve as an identity check for quality management and production control. In the first part, a sample set with 327 typical German wines from 1989 to 2001 were analysed using Fourier transform-middle infrared spectrometry (FT-MIR) and also with different reference methods. In the second part, the results of a Ring test with 52 typical wines from each of 13 German wine regions are discussed. The results from this study demonstrated that a calibration model could be transferred between FT-MIR machines with the same hardware. The inter-laboratory reproducibility proved to be satisfactory and the instrument results were comparable with those obtained by the ''classical reference methods''.

                        Description:
Chemical imaging techniques, based on the combination of microscopy and spectroscopy, are well suited to study both the composition and the spatial organization of heterogeneous complex mixtures of organic and mineral matter. Time-of-flight secondary ion mass spectrometry (ToF-SIMS), followed by scanning electron microscopy with energy dispersive X-ray analysis (SEM-EDX) and Fourier transform infrared microscopy (FTIR microscopy) have been applied to non-destructive analysis of micro-samplings of ritual matters deposited on the surface of African wooden statuettes. With a very careful preparation, using ultramicrotomy on embedded samples, it was possible to perform successively all the measurements on a single fragment. Comparison and superposition of the different chemical images, obtained on a sample from a significant actual artefact, have allowed us to identify minerals (clays, quartz and calcium carbonate), proteins, starch, urate salts and lipids and to map their spatial distribution.

It has been shown that by using pyrolysis-gas chromatography-mass spectrometry (Py-GC-MS), it is possible to discriminate between a variety of base coat, solid paint and clear coat samples of automotive paints in commercial use from a wide range of car manufacturers. Some of the solid paints and clear coats were pairs of samples indistinguishable by fourier transform infrared spectroscopy (FT-IR).

                            Description:
A temperature-programmed desorption (TPD) device connected to a mass spectrometer was used to detect volatile organic compounds from air samples. The main aim was to develop an analytical method, by which both non-polar and polar organic components can be detected in the same run. In TPD, the adsorbed compounds are desorbed from the resin more slowly than in the conventional trapping techniques, such as purge-and-trap technique, in which the resin is flash-heated and the compounds are desorbed at the same time to a cryogenic trap or an analytical column. In TPD, the adsorbent resin acts also as an analytical column. In this way it is possible to obtain more rapid analysis, and also a more simple instrumentation, which can be used on-line and on-site. In this work, a new version of TPD device, which uses a resistor for heating and a Peltier element for rapid cooling, was designed and constructed. Various adsorbent resins were tested for their adsorption and desorption properties of both polar and non-polar compounds. When using a mixture of adsorbent resins, Tenax TA and HayeSep D, it was possible to analyze both polar, low-molecular weight compounds, such as methanol and ethanol, and non-polar volatile organic compounds, such as benzene and toluene, in the same run within 15min including sampling. The same TPD principle was also tested using a Fourier transform infrared spectrometer as an analytical instrument, and the results showed that it was possible to obtain a separation of similar compounds, such as hexane and heptane, and still retaining the same sensitivity as the original on-line FTIR instrument.

                              Description:
A new vapour phase manifold coupled with Fourier Transform Infrared (FTIR) spectroscopy was developed for ethanol determination in mouthwashes. Two microliters of samples were injected, without any previous pre-treatment into a reactor heated at 70^oC, and the vapour phase generated transported to the FTIR spectrometer using a carrier nitrogen flow of 6mlmin^-^1. FTIR spectra were continuously recorded, as a function of time, by accumulating two scans and employing 8cm^-^1 nominal resolution. Analytical measurements for ethanol were made in the range from 1130 to 992cm^-^1 with a baseline defined between 1158 and 957cm^-^1. After ethanol measurement the carrier flow was increased to 300mlmin^-^1 in order to put out of the manifold the water evolved from samples. Several commercial mouthwash samples were analysed by reference methods as titrimetry and headspace gas chromatography and results were comparable with those obtained by vapour phase FTIR. The proposed procedure is a simple, fast and environmentally friendly alternative to the reference methods providing accurate results, with a limit of detection of 0.15% (v/v) and a total analysis time of 2min.

A knowledge base for identification of residual solvents in pharmaceuticals has been established using gas chromatograph-mass spectrometry (GC-MS) and gas chromatograph-Fourier transform infrared spectrometry (GC-FTIR). Sixty solvents were studied according to the guideline for residual solvents regulated by the International Conference on Harmonization of Technical Requirements for Registration of Pharmaceuticals for Human Use (ICH). The standard mass spectra library, the limit of detection (LOD) mass spectra library, the standard vapor-phase infrared spectra library, and the limit of detection (LOD) vapor-phase infrared spectra library were established and constituted the knowledge base. Using the knowledge base, the problem of qualitation, which was the difficulty of determining residual solvents, can be resolved.

                                          Book Description

The papers in this comprehensive volume survey many recent innovations in ultrashort pulse generation, and review the state of the art in compact, modelocked laser systems, discussing both their operational principles and potential applications. The book first covers the theory of short optical pulse generation by modelocking. Then, contributors discuss modelocking techniques in different types of lasers: solid state; diode-pumped; fiber; surface emitting semiconductor lasers; external cavity semiconductor lasers; hybrid soliton pulse sources; and monolithic colliding pulse modelocked diode lasers. Presenting both theoretical and experimental aspects throughout, this book will be invaluable to anyone interested in short pulse laser systems, and particularly to researchers involved in high speed communications or the investigation of ultrafast phenomena.

                                            Book Description

There are eight Schmitt Brothers in all, and one of them is even a girl, the poor thing. They all live together in the brick Schmitt house where they invent all kinds of kooky inventions, get into all kinds of mischief, pull all kinds of pranks, and in general live one grand adventure after another. A must-read for all ages.

5 out of 5 stars A Great Adventure of a book for all the family........2006-04-08

Like the Author, I was raised in a large family and it is truly one adventure after another. This book is full of laughs and it is well-written. I recommend it for all who want to learn more about big families and who want to take a trip down memory lane with the author. I work with the author's wife for some time.

5 out of 5 stars I work with one of the brothers!.......2004-03-27

I've worked with one of the "Schmitt" brothers for two years now. The names have been changed, and the tales a little embelished, but the book is based on the life of the author and his siblings. Out of curiousity, I purchased the book to read a little about my coworker's childhood with his siblings and greatly enjoyed the book. I recommend this to anyone that wants a great hardy laugh... especially if you came from a large family.
